Across both, it includes valuation, deal structuring, due-diligence coordination and negotiation through to close. The aim is a disciplined process that protects value and results in a transaction that genuinely serves the business’s strategy.

Through recognised valuation approaches — income (discounted cash flow), market (comparable companies and transactions) and asset-based — often used together to reach a defensible range. Valuation anchors the negotiation but does not dictate the final price, which reflects negotiating power, strategic motivation and market conditions. A credible, well-documented valuation lets both sides negotiate from an informed position. We prepare valuations with transparent assumptions so the basis for the number can be understood and defended.

Due diligence is the detailed examination of a business before a transaction completes — financial, commercial, legal, governance and operational. It verifies claims, tests assumptions and surfaces risks, so the acquirer understands what they are buying and the seller can defend the value. Well-coordinated diligence protects both the value and the deal itself; poorly managed diligence stalls or derails transactions. We help coordinate the process and prepare businesses so scrutiny confirms confidence rather than undermining it.

What we do is run a disciplined process that improves the prospects of a sound outcome and protects value throughout. Any adviser who guarantees a deal will complete should be treated with caution; our role is to make a good outcome as likely as preparation and discipline can.

Confidentiality is fundamental to how we work and especially critical in transactions, where information is sensitive and premature disclosure can damage value or relationships. Sensitive information is shared only with appropriate authorisation and, where relevant, under non-disclosure arrangements, with access controlled through the process.
